EULA - End User License Agreement

END-USER LICENSE AGREEMENT FOR WARECASE SOFTWARE

PLEASE READ THIS LICENSE AGREEMENT CAREFULLY

This Warecase End-User License Agreement ("EULA") is a legal agreement
between you (either an individual or a single entity) and Warecase Ltd., for
the Warecase Software Product.

By installing, copying, downloading, accessing, or otherwise using the Warecase
software, you agree to be bound by the terms of this EULA. If you do not agree
to the terms of this EULA, do not install or use the Warecase software product.

SOFTWARE PRODUCT LICENSE

Warecase(TM) hereby grants to you a non-exclusive, non-transferable license,
without right to sub-license to use the software XTM (eXtended Task Manager)
(the "Software"). This license is granted for evaluation purposes only, and is
time-limited for thirty (30) days.

For a registered release version of the Software, you must pay a license fee.
To purchase a registered release, please follow instructions prompted by the
Software program.

XTM is licensed on a per-computer basis. This means that you must purchase a
license for each separate computer that it will be installed or used on.

The license type that you should select depends on your XTM usage environment:
If you need XTM for private, noncommercial usage, you should purchase the
Home License, and if you need XTM for professional, commercial usage, you
should purchase the Enterprise License.

License Types:

* Home License:

The Home License entitles you to a standard copy of XTM. This includes
the standard version of the software and documentation. Each copy
includes technical support via e-mail for a period of one year from the
date of purchase of this product. The Home License applies to the use of
XTM installed on home computer for personal use NOT engaging in any
direct or indirect commercial or business activity. You may use the
program on exactly one computer per license. To use the program in a
corporate, government or business environment, you should purchase a
Enterprise License.

* Enterprise License:

The Enterprise License entitles you to a full copy of XTM. This includes
the full version of the software and documentation. Each copy includes
priority technical support via e-mail for the period of one year from the
date of purchase of this product. The Enterprise License applies to the
use of XTM in a business, academic, or government environment and
can be installed on a single machine for use by a single user. You may
use the program on exactly one computer per license.
Pursuant to this license, you may:

- Install, use, access, display, run, or otherwise interact with one copy of
the Software on a single computer;
- Copy the Software for archival purposes, provided any copy contains all of
the original Software's proprietary notices;

You may not:

- Permit other individuals to use the Software except under the terms listed
above;
- Modify, translate, reverse engineer, decompile, disassemble (except to the
extent applicable laws specifically prohibit such restriction);
- Create derivative works based on the Software;
- Copy the Software (except as specified above);
- Rent, lease, transfer or otherwise transfer rights to the Software;
- Remove any proprietary notices or labels on the Software;
- Embed this software in or link it to another program;
TERMINATION

The license will terminate automatically if you fail to comply with the
limitations described above. Otherwise, this license will terminate after
thirty (30) days. On termination, you must destroy all copies of the
Software and Documentation.

DISCLAIMER OF WARRANTY

The Software is provided on an AS IS basis, without warranty of any kind,
including without limitation the warranties of merchantability, fitness for
a particular purpose and non-infringement. The entire risk as to the quality
and performance of the Software is borne by you. Should the Software prove
defective, you, and not Warecase, assume the entire cost of any service and
repair.

WARECASE IS NOT RESPONSIBLE FOR ANY INDIRECT, SPECIAL,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL,
WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND
ALL OTHER COMMERCIAL DAMAGES OR LOSSES. THERE IS NO
GUARANTEE CONCERNING EXACTNESS OR PRECISION OF THE
INFORMATION CONTAINED IN XTM HELP LIBRARY.

Title, ownership rights and intellectual property rights in and to the Software
shall remain in Warecase.

The WARECASE SOFTWARE PRODUCT is protected by copyright laws and
international copyright treaties, as well as other intellectual property laws and
treaties. The WARECASE SOFTWARE PRODUCT is licensed, not sold.

In the case of any dispute regarding the Software, the governing law and the
place of jurisdiction shall be the domicile of Warecase as set forth on the web
site of warecase.com
